Dependle AB – Terms of Use

Please read these Terms of Use carefully before using Dependle. By creating an account or using Dependle's services, you ("User" or "you") agree to be bound by these terms. If you do not agree with any part of these Terms of Use, you must not use the Dependle service.
These Terms of Use constitute a legal agreement between you and Dependle AB ("Dependle", "we", "us" or "our"), a company registered in Sweden with organisation number 559537-3068 (Klubbacken 59, 129 39 Hägersten, Sweden). Dependle offers a web-based project management software service (the "Service"). The Service is available worldwide, and by using it you confirm that your use complies with the laws of your jurisdiction.
1. Account Registration and Eligibility
Account Creation: To use Dependle, you must create an account and provide accurate, up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Eligibility: You must be at least 18 years old (or the age of legal majority in your country) to use the Service. If you are under 18, you may use Dependle only with involvement of a parent or guardian. By using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
Personal Account Use: Each account is personal to you or your organization. Account sharing is not permitted. You agree not to share your login credentials or allow multiple people to use a single account. If your team has multiple users, each user must register their own account (unless using the free plan's two-user allowance as described below).
Account Security: You must promptly notify us at Dependle if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to keep your account secure.
2. The Dependle Service and Subscription Plans
Service Description: Dependle is a web-based project management software application, provided as a Software-as-a-Service (SaaS). It enables users to manage projects, tasks, and collaborate with team members online.
Free Plan (No Time-Limited Trial): Dependle does not offer a time-limited free trial, but we do provide a free tier of service. The free plan allows full access to all features for up to two (2) users. This means you can sign up and use Dependle with all functionalities at no cost, as long as you have no more than two active users on your workspace or account.
Paid Subscription Plans: If you require more than two users or additional capacity beyond the free plan limits, you must upgrade to a paid subscription. Paid plans allow additional users and possibly other enhanced features or support (as detailed on our website or service description). By upgrading to a paid plan, you agree to pay the applicable subscription fees.
Changes to Services: We reserve the right to improve, modify, or discontinue any aspect of the Service (free or paid) at any time. We will endeavor to notify users of major changes. Free plan offerings (such as the two-user free access) are provided at our discretion and may be adjusted in the future, though we will give notice of any material changes to the free tier.
3. Fees, Billing, and Payment
Subscription Fees: Paid subscription fees and terms are described on our website or in the ordering process. All fees are stated in the indicated currency and are exclusive of any taxes (unless specified otherwise). You are responsible for any applicable taxes or charges imposed by governments (except taxes on Dependle's income).
Payment Method: Paid subscriptions require a valid payment method. Payments are processed by a third-party payment processor (e.g., Stripe). By providing payment information, you authorize Dependle (or our payment processor) to charge the subscription fee to your payment method. We do not store your full credit card details on our servers; payment processing and storage of payment details are handled securely by our payment provider.
Billing Cycle: Subscription fees are charged monthly in advance. Your billing cycle begins on the date you start a paid subscription and recurs on the same day each month. Billing is automatically renewed each month unless and until you cancel your subscription. For example, if you subscribe on the 10th of a month, you will be charged on that day and then on the 10th of each subsequent month.
Auto-Renewal: By subscribing, you agree that your subscription will automatically renew at the end of each billing period for another month, and you authorize us to charge your payment method each month at the then-current subscription rate. We will notify you of any changes in pricing or terms ahead of the next renewal, in accordance with applicable laws.
Failed Payments: If we cannot process payment using your provided method (e.g., credit card expiration or insufficient funds), we will notify you and may attempt to re-charge after a short period. If payment remains unsuccessful, we reserve the right to suspend or downgrade your account (for instance, reverting you to the free plan limits) until the issue is resolved. You are responsible for keeping your billing information current and accurate.
4. Cancellation and Refund Policy
Cancellation by You: You may cancel your paid subscription at any time. Cancellation will prevent future billing, and you will continue to have access to paid features until the end of the current billing period (unless you request an immediate cancellation and refund under our refund policy). After cancellation, your account may automatically revert to the free plan (limited to 2 users and associated features) at the end of the paid period.
How to Cancel: You can cancel through your account settings on the Dependle website or by contacting our customer support. If you encounter any difficulty in canceling, please notify us in writing (e.g., via email), and we will assist you.
30-Day Refund Guarantee: Dependle offers a refund policy for paid subscribers. If you are unsatisfied for any reason, you may request a refund of your most recent monthly subscription fee, provided that you make the request within 30 days of that payment. This effectively means we will refund the current month's subscription if you cancel and request a refund within 30 days of the charge. For example, if you were charged on April 1 and you decide to cancel on April 20, you can request a refund for the April payment.
Refund Conditions: Refunds are only offered for the current billing month when requested within the 30-day window after that payment. We typically do not issue refunds for charges that are older than 30 days or for previous months that you used the Service. Each subscription month is treated independently for refund purposes.
Method of Refund: Approved refunds will be credited back to the original payment method (e.g., the credit card used via Stripe). Please allow a reasonable time for the refund to process through the payment system.
No Refund for Violations: Please note: If your account is terminated by us due to a violation of these Terms (see Section 8 on Termination), you will not be entitled to a refund for any unused period of a subscription, except as required by law.
Statutory Rights: The above refund policy does not limit any rights you may have under consumer protection laws. If you reside in a jurisdiction (for example, the European Union) that grants you a statutory right to cancel a contract within a certain period (such as a 14-day cooling-off period), those rights apply to the extent required by law. However, by using the Service immediately and/or by taking advantage of our 30-day refund guarantee, you may be expressly waiving certain statutory cancellation rights, as allowed by law.
5. AI Assistant
AI Assistant: The Service includes an AI assistant that can help you create and edit tasks, projects and related content from your prompts. The assistant is automated. Outputs can be incomplete or inaccurate and may not suit your context. You must review all outputs and you remain responsible for any decisions or actions you take based on them. The assistant does not provide legal, financial or other professional advice.
Inputs and outputs: You are responsible for the prompts and files you submit. Only input content you are authorised to use and share, and avoid special category data or confidential information about others unless you have a lawful basis to include it. You may use AI outputs for any lawful purpose, inside or outside the Service, subject to third party rights. Outputs can be similar to material seen elsewhere, so uniqueness is not guaranteed. Dependle and its suppliers retain all rights in the models and systems that generate the outputs.
Acceptable use: In addition to the Acceptable Use Policy, you must not use the assistant to generate or share unlawful content, to infringe intellectual property or privacy rights, to deceive or impersonate others, to create malware or exploit security flaws, or to bypass safety filters and usage limits. We may set rate limits and content filters, and we may suspend or restrict access to the assistant where we reasonably believe there is misuse.
Third party AI providers (OpenAI API): We use trusted third party AI providers to run the assistant, including the OpenAI API provided by OpenAI, L.L.C. Your prompts, and any context you choose to include, are sent to these providers so they can generate a response. They process such data under our instructions and only to provide the Service. We do not permit these providers to use your prompts or outputs to train their general models without your explicit consent. Processing by OpenAI may occur outside the EEA and the UK. Appropriate transfer safeguards apply as described in our Privacy Policy.
Support, safety and changes: A limited number of authorised staff may review a small sample of interactions to investigate abuse, resolve support issues or ensure safety. The assistant is an evolving feature and model updates may change behaviour or quality over time. Use of the assistant is also subject to our Privacy Policy.
6. Acceptable Use Policy (User Conduct)
You agree to use Dependle in a lawful and respectful manner. You must NOT use the Service in any way that:
Illegal or Harmful Purpose: Violates any applicable law or regulation, or promotes illegal activities. You must not use Dependle to engage in or facilitate any illegal discussions, planning, or activities. Additionally, you must not use the Service for any purpose intended to harm, injure, or disrupt any person, organization, or society. Using Dependle to inflict damage, harass others, or coordinate harmful acts is strictly prohibited.
Malicious Content: Involves uploading, transmitting, or distributing any viruses, malware, worms, Trojan horses, corrupted files, or any other destructive or malicious code. You must not use Dependle to spread harmful software or content that could damage or interfere with our systems or other users' systems.
Scraping and Unauthorized Access: Employs any automated means (such as bots, scrapers, or crawlers) to extract data from the Service, or to access the Service in a manner not provided or authorized by us. Automated querying or "scraping" of our platform, mass downloading of content, or performance testing without permission is not allowed. You also must not attempt to gain unauthorized access to any part of the Dependle Service or its related systems or networks (no hacking, password mining, or circumventing access controls).
Reselling or Misuse of Service: Resells, rents, sublicenses, or otherwise provides access to the Service to any third party without our consent. You cannot use your Dependle account to operate as a service bureau or to allow non-authorized users to benefit from the Service. Account sharing or allowing others outside your organization (or beyond allowed users) to use your account is a violation of these terms.
Prohibited Content: Posts or stores content that is obscene, defamatory, threatening, harassing, or otherwise objectionable or that violates the rights of any party (including intellectual property rights and privacy rights). While Dependle is primarily a private project management tool (and not a public forum), any content you input must still comply with laws and not be of an unlawful nature (e.g., do not store unlawful hate speech, child exploitation material, etc. on our Service).
Service Integrity: Attempts to interfere with or disrupt the integrity or proper functioning of the Service. This includes actions like launching denial-of-service attacks, attempting to overload the system, or conducting any penetration testing or vulnerability scanning without our permission.
Other Misuse: Engages in any other activity that we deem, in our reasonable discretion, to be misuse of the Service or contrary to the Service's intended purpose. We reserve the right to determine what conduct is considered inappropriate in order to protect our users, our business, and the public.
Compliance: We may monitor usage and content on Dependle to ensure compliance with these Terms and our policies. If we discover behavior or content that violates this Acceptable Use Policy (or that we believe is otherwise harmful or unlawful), we may take appropriate action, which could include removal of content, warnings, suspension or termination of accounts (as detailed in Section 8), and/or reporting to law enforcement if necessary.
7. Intellectual Property Rights
Our Intellectual Property: All rights, title, and interest in and to the Dependle Service and all content and materials provided by Dependle (including but not limited to software, code, algorithms, design, text, graphics, logos, trademarks "Dependle", and any other brand features) are the exclusive property of Dependle AB and its licensors. We retain all rights in our Service and intellectual property that are not expressly granted to you. These Terms do not transfer any Dependle intellectual property to you or any third party.
License to Use: Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Dependle Service for your own internal project management and business purposes. This license is provided solely for your use of the Service as intended and allowed by these Terms. You may not use our software or Service for any purpose not expressly permitted by these Terms.
Restrictions: You shall not (and shall not allow anyone else to) copy, modify, distribute, sell, resell, lease, lend, or create derivative works based on any part of the Dependle Service or software. You may not reverse engineer, decompile, or attempt to extract the source code of our software, except to the extent such restriction is expressly prohibited by applicable law. All uses of Dependle's name, logo, and trademarks must be with our prior written permission.
Your Content: "Your Content" refers to any data, information, files, or materials that you upload or input into Dependle (for example, project plans, tasks, notes, attachments, messages, etc. within your projects). You retain ownership of Your Content. We do not claim ownership over the content or data you submit to the Service. These Terms do not grant us any rights to Your Content except for the limited rights that are necessary to run the Service.
License to Your Content: By using Dependle and submitting Your Content, you grant Dependle AB a worldwide, royalty-free, sublicensable license to use, host, copy, transmit, display, and process Your Content solely for the purpose of operating, maintaining, and improving the Service and as otherwise necessary to provide the Service to you. For example, we may need to store your data in our database, back it up, or transmit it to our servers and back to you, and display it to you and those you share it with. This license is not for any other purpose; we will not use your content for marketing or share it with third parties except as permitted in our Privacy Policy or required by law.
Responsibility for Content: You are solely responsible for ensuring that you have all necessary rights to Your Content that you upload to Dependle. This means you should not upload anything you do not have permission to use or that infringes someone else's rights. We are not responsible for any user content on the Service. However, if we become aware of content that violates these Terms or rights of others, we may remove or disable access to that content.
Feedback: If you choose to provide feedback, suggestions, or ideas about Dependle ("Feedback"), you agree that Dependle AB is free to use such Feedback in any way, and you hereby grant us a perpetual, sublicensable, worldwide, royalty-free license to incorporate and use your Feedback for any purpose. We appreciate feedback but are not obligated to use it or to compensate you for it.
8. Privacy and Data Protection
Privacy Policy: Your privacy is important to us. Please review our Privacy Policy (available on our website) to understand how we collect, use, and protect your personal data. By using the Service, you consent to our collection and use of personal data as outlined in the Privacy Policy.
Data Security: We implement reasonable technical and organizational measures to secure Your Content and personal data against unauthorized access, loss, or alteration. However, you acknowledge that no Internet-based service can be 100% secure and we cannot guarantee absolute security. You are responsible for maintaining appropriate backup copies of Your Content.
Third-Party Services: Dependle may use third-party hosting or service providers (for example, cloud infrastructure, payment processors like Stripe, etc.) to operate critical parts of the Service. We aim to ensure such providers are reputable and secure. Nonetheless, you understand that Your Content may be stored or processed by third parties on our behalf (e.g., data storage on cloud servers). Our agreements with such providers will safeguard your rights to the extent possible, but we disclaim liability for security breaches attributable to those third parties (subject to applicable law).
9. Termination and Suspension
9.1 By Dependle (Termination for Cause): We reserve the right to suspend or terminate your account and/or access to the Service immediately for cause if you violate these Terms of Use or engage in any behavior that we deem abusive, harmful, or unacceptable. Causes for termination include, but are not limited to:
- Violation of Acceptable Use: Using the Service in a prohibited manner as outlined in Section 6 (e.g., engaging in scraping, reselling access, sharing accounts, distributing malicious code, participating in illegal or harmful activities, or otherwise misusing the platform).
- Threats to Security or Integrity: Actions that pose a security risk to the Service or its users, or that could subject us or others to liability (such as attempting unauthorized access, interfering with Service functionality, or harassment of our personnel or other users).
- Non-Payment: Failing to pay subscription fees when due (after any applicable grace period). In such cases, we may suspend access to paid features or terminate the subscription, potentially reverting you to the free plan if applicable, until fees are paid.
- Legal Requirement: We learn of a legal prohibition on providing the Service to you, or providing the Service to you becomes impractical or unlawful under applicable law (for example, due to sanctions, court orders, or regulatory restrictions).
In most cases, where reasonable, we will attempt to provide you with a notice of intended suspension or termination (e.g., via the email associated with your account) and an opportunity to remedy the violation, but we are not obligated to do so if the violation is severe or poses immediate harm.
9.2 By Dependle (Termination for Convenience): While our subscriptions are generally month-to-month, Dependle reserves the right to discontinue the Service or terminate any account for convenience with reasonable notice. If we terminate your paid account for convenience (and not due to your misconduct), we will provide a pro-rata refund for any remaining paid period beyond the termination date.
9.3 By You: You are free to stop using Dependle and may delete your account at any time. If you wish to terminate your account, you may do so through the account settings or by contacting support. Termination of your account will discontinue your access to the Service. Any fees paid prior to termination are subject to the Refund Policy in Section 4.
9.4 Effects of Termination: Upon termination of your account for any reason:
- Your right to access or use the Service will immediately cease. Any licenses or rights granted to you in these Terms will end.
- We may disable or delete your account and (in the case of termination for cause) may delete or not allow you to retrieve any of Your Content associated with the account, except as required by law. For voluntary terminations, we generally allow a window to export or download Your Content – please ensure you have saved your data before terminating.
- If you are on the free plan or your account reverts to a free tier upon termination of a paid plan, you may still access the account within the free plan's limitations. However, we reserve the right to delete inactive free accounts (with prior notice to the account email) after a prolonged period of inactivity, in order to manage storage resources.
Dependle shall not be liable to you or any third party for termination of your account or access to the Service in accordance with these Terms. If you believe your account has been suspended or terminated in error, please contact us to discuss the issue.
10. Disclaimers of Warranties
"As Is" Basis: Dependle provides the Service on an "as is" and "as available" basis. Your use of the Service is at your own risk. To the maximum extent permitted by law, Dependle disclaims all warranties and conditions, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
No Guarantee of Error-Free Service: We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects or bugs will be corrected. While we strive for high availability and data accuracy, we make no guarantee that the Service will meet your specific needs or expectations, or that any results obtained from the use of the Service will be accurate or reliable.
Data and Security: You understand that use of the internet and the Service involves transmission of your data over networks that we do not control, and that security of electronic communications and storage can never be 100% guaranteed. Therefore, we cannot warrant that information or data transmitted or stored via the Service will be completely secure from unauthorized access or use.
No Responsibility for Third-Party Services: Some features of Dependle may rely on or integrate with third-party services (for example, payment processing via Stripe, or maybe future integrations with other tools). We make no warranty as to any third-party services, and we are not responsible for outages, errors, or breaches originating with third parties. Your use of any third-party services is subject to their terms and is at your own risk.
Exceptions: If applicable law does not allow the exclusion of certain warranties, those warranties are limited to the minimum extent required by law. For example, in some jurisdictions, you may have specific legal rights that are not waivable; our intention is not to override those rights if they apply.
11. Limitation of Liability
Indirect Damages: To the fullest extent permitted by law, Dependle AB and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business, or goodwill, arising out of or in connection with your access to or use of (or inability to use) the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and even if we have been advised of the possibility of such damages. This exclusion includes any damages caused by lost or compromised data, service downtime, or errors in the software.
Direct Damages Cap: To the extent that liability is not otherwise excluded, our aggregate liability to you for all claims arising from or related to the Service or these Terms shall not exceed the amount you paid to Dependle for the Service in the one (1) month immediately preceding the event giving rise to the claim. If you are on a free plan or otherwise have not paid any amount, our total liability to you shall be zero (SEK 0 or $0, as applicable). This limitation applies cumulatively to all types of claims.
Exceptions to Limitations: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law. This includes, for example, liability for death or personal injury caused by our gross negligence or willful misconduct, or for fraud. Additionally, some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by your local laws. In such cases, Dependle's liability will be limited to the maximum extent permitted by law.
Allocation of Risk: You acknowledge that Dependle has set its prices and offered access to the Service in reliance on the disclaimers of warranty and limitations of liability in these Terms, and that these provisions form an essential basis of the bargain between you and us. You agree that the limitations and exclusions of liability and disclaimers will survive and apply even if found to have failed of their essential purpose.
12. Governing Law and Dispute Resolution
Governing Law: These Terms of Use and any dispute arising out of or related to the Service or these Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. If you use the Service from outside Sweden, you are still responsible for complying with local laws, but the laws of Sweden will govern the interpretation of these Terms and any disputes.
Jurisdiction: You agree that any legal action or proceeding arising under or relating to these Terms or the Service shall be brought exclusively in the courts of Sweden. Specifically, unless otherwise required by law, the courts located in Stockholm, Sweden will have jurisdiction. You consent to the personal jurisdiction of such courts and waive any objection on grounds of venue or forum non conveniens (inconvenient forum).
Consumers in the EU or Other Jurisdictions: We acknowledge that laws in certain jurisdictions (including EU member states) may give consumers the right to bring disputes in their local courts under local law. These Terms do not limit any such rights that you have as a consumer. If you are a consumer and applicable law allows you to choose a different jurisdiction (for example, your country of residence), then nothing in these Terms would prevent you from doing so.
Dispute Resolution and Good Faith: Before resorting to legal action, we strongly encourage you to contact us directly to discuss and resolve any issue. We are open to good-faith negotiations and will attempt to resolve disputes amicably. You can reach out to us via the contact information in Section 13.
No Class Actions: To the extent permitted by law, you and Dependle agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. No class, collective, or representative actions are allowed. This means you cannot bring a claim on behalf of a group or the public in general, and likewise we cannot bring such a claim against you.
(If you are interested in an arbitration process or alternative dispute resolution, please contact us. At this time, Dependle does not mandate arbitration, but we remain open to using mediation or arbitration by mutual agreement in order to resolve disputes efficiently.)
13. Changes to These Terms
Right to Update: Dependle may update or revise these Terms of Use from time to time. If we make material changes, we will provide you with notice by posting the updated Terms on our website and updating the "Last Updated" date at the top, and/or by sending an email to the address associated with your account or by an in-app notification.
Acceptance of Changes: Changes will not be retroactive. The updated Terms will become effective on the date specified in the notice or when posted (as applicable). By continuing to use the Service after the new Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the changes take effect and, if applicable, cancel any paid subscription.
Reviewing Updates: We encourage you to periodically review the Terms of Use to stay informed of any updates. We will archive significant past versions of these Terms (if any) and make them available upon request so that you can see what has changed.
14. Miscellaneous Provisions
Entire Agreement: These Terms of Use (along with our Privacy Policy and any other agreements explicitly incorporated by reference) constitute the entire agreement between you and Dependle regarding the Service. They supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Dependle regarding the Service.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of the Terms will remain in full force and effect. The invalid provision will be deemed modified in a manner that closely reflects the original intent of the parties, to the extent permitted by law.
Waiver: No waiver of any term or condition of these Terms by us shall be deemed a further or continuing waiver of such term or any other term. Dependle's failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms (or any of your rights or obligations herein) without our prior written consent. Any attempted assignment by you without consent is void. Dependle may assign or transfer these Terms, or any rights or obligations hereunder, to any successor or affiliate as part of a merger, acquisition, sale of business or assets, or by operation of law, and you hereby consent to such assignment. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
No Third-Party Beneficiaries: These Terms are for the benefit of you and Dependle (and permitted assigns) only. No third party has any rights to enforce any portion of these Terms.
Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Dependle. Neither party has authority to bind the other or incur obligations on the other's behalf.
Headings: Section titles or headings in these Terms are for convenience only and have no legal or contractual effect.
Language: These Terms of Use are written in English. If we provide a translation of these Terms, it is for convenience, and the English version will control in case of any conflict.
